1. Platform, hardware and software rights
The Livegrid Platform may include instruments, controllers, docking or farm equipment, chips and other consumables or accessories, embedded firmware, controller applications, server and backend components, desktop or web interfaces, monitoring, experiment and SOP-management software, data-processing tools, updates, and associated documentation. The exact components supplied to a customer are identified in the applicable agreement or order.
Ownership, lease or loan of physical hardware is governed by the applicable agreement. A sale or other supply of hardware does not transfer ownership of its designs, technology, firmware, software, documentation, trademarks or other intellectual property. All Livegrid software, including software embedded in hardware, is licensed, not sold. Subject to the applicable agreement, Livegrid grants the customer and its authorised users a limited, non-exclusive, non-transferable right to use the supplied software and documentation solely with or as part of the authorised Livegrid Platform.
Except where mandatory law permits otherwise or Livegrid gives prior written permission, users may not copy, distribute, sublicense, sell, modify or create derivative works from Livegrid software; reverse engineer, decompile or attempt to extract its source code; copy or reverse engineer Platform hardware, chips or designs; circumvent access or security controls; remove proprietary notices; or use Livegrid software, documentation or confidential technical information to reproduce the Platform or develop a competing implementation.

2. Acceptance, duration and termination
These Platform Terms are intended for business, professional, institutional and research customers and users, not consumers. They apply when they are included in or incorporated into a customer agreement or order and when a Platform component displays or otherwise provides a link to them, including through an About or Legal screen.
By signing an agreement that includes or incorporates the EULA, or by installing, accessing or using a Platform component after receiving notice of these Terms, the customer and each authorised user agree to these Terms. The customer must ensure that its authorised users comply with them. If these website Terms conflict with a signed customer agreement or its EULA, the signed terms control.
The licence begins when the customer first receives, installs, accesses or uses the relevant Platform component and continues only for as long as the customer is entitled to use that component under the applicable agreement.
Unless the applicable agreement states otherwise, Livegrid may terminate the licence for a material breach that is not cured within 30 days after written notice, or immediately if the breach cannot be cured. On expiry or termination, the customer and authorised users must stop using the affected software and documentation, delete standalone copies, and return leased or loaned equipment where the applicable agreement requires it. Ownership of purchased physical hardware is not affected, but embedded software remains licensed and may no longer be used after the licence ends. Provisions which by their nature should survive expiry or termination remain in effect.

3. Research use and safety
The Livegrid Platform is intended for research use only unless Livegrid expressly states otherwise in writing. Its hardware, software and outputs are not medical devices and must not be used for diagnosis, treatment, patient management, life support, or any other clinical or safety-critical purpose.
The customer remains responsible for experimental design, trained supervision, biosafety, laboratory procedures, data review and independent verification of results. Users must follow the product documentation and all applicable laws, regulations and institutional procedures.

4. Updates, warranty and liability
Support, maintenance, repairs, replacements and software or firmware updates are provided only as stated in the applicable agreement. Livegrid may change platform software to correct faults, maintain compatibility, improve safety or security, or add functionality.
Any warranties, remedies, exclusions and limits of liability are those stated in the applicable agreement. Where no separate written terms apply, the Platform is provided “as is” and “as available” to the maximum extent permitted by law. Livegrid does not warrant uninterrupted or error-free operation, compatibility with materials or equipment not specified by Livegrid, or suitability for a particular experiment. Nothing in this notice excludes or limits liability that cannot lawfully be excluded or limited.

5. Intellectual property and feedback
Livegrid and its licensors retain all rights in the Platform technology, including its hardware and chip designs, software, firmware, interfaces, documentation, methods, trademarks and other platform materials. Supply or ownership of physical hardware grants no right to manufacture, reproduce or commercialise the hardware or its design. No right is granted except the rights expressly stated above or in the applicable agreement.
If a user voluntarily provides non-confidential suggestions or technical feedback that the user is authorised to disclose, Livegrid may use that feedback without payment. This does not grant Livegrid rights in customer confidential information, experimental data, inventions or patent rights.

6. Third-party software and materials
Livegrid hardware or software components may contain or be distributed with third-party software, firmware, fonts, icons or other materials. Those components remain subject to their respective licence terms and copyright notices. Where a third-party licence grants rights beyond this notice, that licence governs the relevant component.

Used in controller firmware, which is a software component of the Livegrid Platform. Version: 8.4.

7. Platform privacy
The released Livegrid Platform components identified in the applicable customer agreement or order do not automatically collect or transmit personal data to Livegrid. They do not use analytics, cloud synchronisation, remote diagnostics or automated crash reporting unless the applicable agreement or an in-product notice expressly states otherwise.
Operational and experimental data remain within the customer’s local Platform installation unless the customer deliberately exports or provides them to Livegrid, for example when requesting technical support. If connected or hosted services are introduced or enabled in a future component or version, Livegrid will provide appropriate privacy information for those services.

8. Governing law and jurisdiction
These Terms and any non-contractual obligations arising from them are governed by Belgian law, excluding its conflict-of-law rules. Unless the applicable agreement states otherwise or mandatory law requires another forum, the courts of Leuven, Belgium have exclusive jurisdiction.
